Manage and maintain corporate governance documents, corporate books, policies and records for Sierra Nevada Corporation, its subsidiaries and affiliated companies. Prepare legal documents for the formation or dissolution of business entities. Work with legal counsel on merger and acquisition due diligence, document preparation and post-closing integration activities. Responsibilities also include providing research and analysis of legal issues. Assisting in the drafting, review and negotiation of contracts, purchase agreements, leases, procurement agreements, credit agreements, non-disclosure agreements, consultant agreements, memoranda and demand letters. Management of the legal budget through processing of engagement letters, reviewing and validating invoices; interacting with outside counsel; updating the legal budget spreadsheet monthly; and creating quarterly reports and year end projections. Working with legal counsel to develop and maintain corporate legal processes and procedures. Effectively manage the intellectual property portfolio through coordination with corporate vice presidents, engineers and patent attorneys; develop status reports to monitor progress and deadlines of patents and necessary legal research.
