I advise clients on technology transactions, software licensing, intellectual property, and open source issues. I also serve as outside general counsel to open source foundations and other technology-focused nonprofits.

Managed legal matters for a trade association facilitating open source collaboration among financial services firms. Advised the executive director and board on legal and governance issues. Oversaw outside counsel. Drafted and negotiated agreements with vendors and partners. Set policies for contribution to and publication of free and open source software projects. Recommended and implemented policies for governance of FOSS projects and working groups. Produced and maintain open source compliance resources to aid member firms, including a reference corporate FOSS policy and license compliance handbook. Assisted Foundation members in implementing FOSS policies and processes. Chaired the Open Source Readiness Working Group. Presented regularly to the Foundation staff, board, and members, and to the industry at large.

Counseled software companies and other technology-focused clients on business transactions, intellectual property issues, regulatory compliance, and related matters. Represented defendants at trial and on appeal in federal criminal prosecutions involving financial fraud and computer crime charges.

Counseled IEEE’s operating units on intellectual property issues, online privacy and information security compliance, commercial contracts, export control regulations, standards development, nonprofit compliance issues, and other issues. Managed litigation matters in cooperation with outside counsel.

Advise developers of free and open source software (FOSS), including on issues related to copyright, trademark, patent, nonprofit corporate organization and compliance, and export regulations. Review, draft, and negotiate software licenses, technology transfer agreements, and software development contracts. Advise tax-exempt organizations on formation and compliance with federal tax law and state charities regulations. Manage license compliance activity, including litigation in several actions to enforce FOSS licenses. Develop public education materials explaining legal issues affecting FOSS developers. Write and submit briefs amicus curiae before the United States Supreme Court and the Federal Circuit. Advocate public policy favorable to FOSS development before government agencies. Manage work of interns and legal fellows.
