As a lead Private Equity senior associate with AMLAW 100 global law firm, Hunton & Williams LLP, handled successfully – and regularly sourced directly – a broad scope of sophisticated corporate transactions, running the gamut from leading and managing for my direct partners (including bearing “quarterback” responsibilities and responsibilities for budget management and client reporting to C-level, Board and General Counsel stakeholders) “deal teams” of associates and other specialist partners (covering, for example, tax, real estate, environmental, labor and employment, commercial finance and intellectual property) in drafting, negotiating and closing complex portfolio company acquisitions and divestitures for private equity clients, to effecting securities offerings and debt financings for both private and public company clients, to serving as lead counsel in numerous complex fund formations (including strategizing structure and drafting governing and closing documentation) for private equity and LBO, hedge fund and real estate private equity sponsors, to advising major institutional investors as well as foundations and endowments with respect to investments in dozens of leading private funds, to assisting in the preparation of various SEC filings, to, by way of further example, drafting and negotiating a myriad of commercial contracts (including licensing agreements, distribution and sales agreements, business process and technology outsourcing agreements for Fortune 500 clients, as well as term sheets, letters of intent and memoranda of understanding, among others).
