Responsible for financial planning and analysis, budgeting (operating and capital), financial reporting, SEC reporting, accounting systems and controls, investor and board of director presentations, annual audit, cash management, vendor management (benefits, I/T, insurance) and administration. The position reports to the CEO and is a member of the Executive Team.

Accomplishments• Successfully led transition team after acquisition of subsidiary and seamlessly integrated the operations into the Company. • Reduced subsidiary’s third-party logistic cost and marketing expenses leading to higher profit margins. • Streamlined financial close process of Company resulting in the receipt of enhanced financials in less time, ensuring more efficient quarterly reviews and annual audits. • Effectively negotiated cost savings related to annual report production, 3rd party vendors and office space expansion.• Primary point of contact for all internal and external corporate communications including web site, press releases, conference calls, investor relations calls / outreach, analysts, media inquiries, and annual report production.

Accomplishments• Drafted policies and procedures to mitigate Company’s risks under the Sarbanes-Oxley Act and managed their implementation as chairman of the Disclosure Controls and Procedures Committee.• Responsible for financial integration of corporate acquisition, and thereafter for production of subsidiary’s financial statements, revised its chart of accounts and streamlined the closing process.• Created system-generated management reports that increased the efficiency of corporate and subsidiary monthly closes from 15 to 6 days. • Primary responsibility for financial projections, due diligence and meeting with bankers in connection with merger that resulted in the Company going public. Drafted major portions of the Company’s initial 10-K filing.

Accomplishments• Led team that successfully implemented Sarbanes-Oxley Act including establishment of internal controls for both US and foreign based subsidiary.• Developed flux analysis enabling Board of Directors to get a “quick snapshot” of Company’s quarterly financial position.• Researched accounting literature and developed policy and procedures for the proper recording of Company’s warrants.• Streamlined quarterly closing process from 10 to 8 days.
