• Responsible for all US domestic income tax planning, including federal, state and cross-border taxation.• Manage and perform tax due diligence procedures for all mergers, acquisitions, and dispositions in North America.• Based on federal consolidated return, US domestic revenues increased from $4.7 billion in fiscal 2008 to $12.2 billion in fiscal 2019 largely due to approximately 300 transactions with purchase prices ranging from $100,000 to $200 million.• Research and document tax issues for utilization by senior management in making material business decisions and support the income tax compliance process. • Serve as primary contact for all federal and state income tax authorities and conflict resolution issues. • Provide multitude of state and local tax services to clients in various industries including banking/finance, energy, manufacturing, advertising, and retail primarily from a state income and franchise tax perspective.• Serve as state and local tax engagement manager on the firm’s largest compliance engagement for a major utility conglomerate. • Provide due diligence services for clients including identifying and documenting potential exposures for pending mergers and acquisitions and assess implications of complex taxable and nontaxable restructurings.• Document and analyze client’s implementation of FIN 48 (ASC 740-10) as well as perform audit procedures and review appropriateness of tax provision of FAS 109 and FIN 48 (ASC 740-10) reserves for financial statement purposes.• Research and document implications of complex transactions for C corporations, partnerships, single member limited liability companies, and qualified subchapter S corporations.• Serve as performance manager and mentor for a Senior Associate and a Staff Associate.• Regularly instruct at national and local staff-level firm trainings.• Present at firm-sponsored CPE/CLE trainings on state tax issues for senior-level industry tax personnel.• Serve as recruiting contact for Carolinas state and local tax practice for both campus recruiting and experienced hires.

• Managed material projects, including incorporation, dissolution, liquidation, and mergers of domestic and foreign entities. • Advise senior management on complex US domestic technical tax issues, including divisive internal reorganizations under IRC§§368(a)(1)(D) and 355, and alternative implications under §351 followed by a distribution of stock under §301.• Identify international permanent establishment issues and devise and implement measures to ensure minimal tax exposure.• Responsible for compliance, research, planning, and conflict resolution of all state and local taxes for all US subsidiaries, managing and training staff of three.• Represent company as state tax expert and advisor on all material transactions, including mergers, acquisitions and dispositions, straight asset sales of legal entity divisions, corporation stock sales via IRC §338(h)(10), partnership/LLC taxation, internal reorganization under IRC §355, and intangible/intellectual property management. • Research and implement tax strategies, including reorganization of intangible holding company, recommend tax efficient business operations, and initiating legal entity restructure.• Serve as Assistant Treasurer for various financing and securitization vehicles to ensure bona fide business operations, minimize state tax exposure, and effective working capital management.• Responsible for all state tax accounting functions, including FAS 109, income/franchise tax reserves, projections, and provisions.• Direct staff in implementing tax systems to streamline compliance, tax sharing and effective tax rate calculations.
