Built and managed Legal, Global Risk, and Information Security teams, and served as the company’s Data Protection Officer. Member of executive leadership team driving company-wide goals, strategy, and prioritization through acquisition by Amazon in August 2024.Led commercial contract negotiations for Go-to-Market (GTM) team on large, complex, and cross-border transactions, and deals involving unique data privacy and cybersecurity requirements for a global customer base that included large retailers, robotic integrators, third-party logistics companies, warehouse operators, and commercial freight forwarders. Designed and implemented Covariant’s IP strategy and cybersecurity, data privacy, and international trade (customs/export) compliance programs. Led corporate governance and fundraising activities in partnership with others in executive leadership.Outside of Legal, was responsible for partner (supply chain, joint GTM) and data (acquisition, usage rights, customer trust) strategies and related product management considerations.

Palantir is a leading software company that provides innovative data analytics and AI/ML solutions to government and commercial customers (~ $2 billion in revenue and 4000 employees at end of tenure).Helped build team of 21 attorneys, contract strategists, and legal-ops professionals covering the USG business. Team grew from 5 to 21 people over the course of two years (4 direct reports). Areas of responsibility included SaaS licensing transactions, regulatory and congressional requests, partnership strategy, corporate development, government litigation, IP/data rights negotiation, risk management, product marketing, and data privacy/cybersecurity review.Served as lead attorney for Palantir's Intelligence Community business, launch of its FedStart product (FedRAMP infrastructure as a service), launch of the N3C Unite ecosystem (collaborative research platform for NIH and third-party labs), successful capture of the US Army TITAN program ($250 million cross-phase OTA prototyping), and various classified opportunities. Built and managed the USG Partnerships team, including creation of all forms, playbooks, and SOPs for engaging with industry partners. Traveled to London once a quarter to oversee comparable scaling efforts for UK and EMEA Government businesses.Led Palantir’s national security compliance program, which encompassed export control, sanctions, accreditations (facility clearances, entity structures), and reputational risk. Served as an advisor to the company’s Privacy & Civil Liberties board on dual-use technology and encryption matters, to the External Affairs team on government and industry group engagement, and to company leadership and the executive team on proposed strategic transactions. Drafted sections of the S-1 for the company’s public listing and recurring 10-K and 10-Q filings.

Built and scaled multiple teams, workflows, and operations during a high-growth period in which Palantir went public (NYSE: PLTR) and experienced rapid adoption. Served as legal advisor in commercial deal and partnership negotiations, contributed to the company’s commercial contracting and GTM strategy (contract vehicle identification, commercial terms, data rights, exclusivity, and pricing/growth strategy), and managed various compliance programs (export control, sanctions, and product accessibility).

Handled full spectrum of government contracts and grants matters including transactions, counseling, and disputes ranging from successful intervention in a bid protest to protect an ~ $1 billion cybersecurity award to performing diligence and drafting regulatory filings (CFIUS, DDTC, FOCI mitigation) in support of cross-border M&A and investment. Conducted internal investigations and advocacy with regulators concerning export controls, sanctions, and payment compliance issues including preemptive risk assessments, RFI responses, and overall crisis management. Advised on Foreign Agents Registration Act and Lobbying Disclosure Act compliance for both the firm and external clients.During this period, Super Lawyers recognized me as a Washington, D.C. "Rising Star".

Worked on a broad variety of government contracts and antitrust regulatory and transactional matters including commercial license negotiations, M&A diligence, Hart-Scott-Rodino (HSR) responses, and advocacy before US and non-US competition agencies in support of deals. Conducted internal investigations and worked on related white collar defense matters, including antitrust risk assessments, cybersecurity incident responses, and contractor suspension and debarment proceedings.Also engaged in strategic government relations activities including successful white papers for agencies proposing procurement approaches for public projects and successful efforts before state and federal legislatures to preserve or repeal appropriations and policy language.Moved with partners from Pepper Hamilton in May 2014.
