• Add value by identifying and quantifying business and legal risk, finding practical and creative solutions to mitigate risk and facilitate growth, and serving as a trusted partner to assist business leaders to achieve their goals.• Draft, negotiate and close technology, commercial and corporate agreements, domestic and international, including software licenses, technology licensing agreements, hardware and services agreements, reseller agreements, and joint venture and strategic alliance agreements. • M&A experience includes over 35 transactions, including due diligence, and drafting and negotiation of transaction documents.• Create, procure and manage intellectual property assets to support client business goals and objectives.• Enforce patents and other intellectual property assets, including patent licensing campaigns.• Work with engineers and other technology professionals to exploit open source software, while remaining compliant with open source licenses.• Resolution of disputes prior to litigation and managing litigation.• Compliance with privacy and data protection laws. • Government contracting, including FAR and DFARS, government rights in intellectual property including data rights, and selling commercial software, goods, and services to the Federal Government.
