Practice focused on energy transactional, finance, operational, commercial, and title matters, specifically those that involve negotiating transactions for upstream and midstream oil and gas companies, renewable energy projects, and carbon capture strategies. Negotiated purchase and sale agreements, wind and solar leases, joint operating agreements, credit agreements, farmout agreements, joint venture agreements, mortgages and deeds of trust, gas gathering and processing contracts, EPC contracts, and various other agreements.

Co-founded firm that grew to eight full-time attorneys and four additional consulting attorneys in less than two years. Focused on small- to mid-market mergers and acquisitions and the preparation of title opinions covering federal, fee and state lands in Colorado, Texas and Wyoming. Negotiated purchase and sale agreements, exchange agreements, mineral rights acquisition agreements and drilling contracts. Implemented the rollout of master services agreement programs for newly formed clients. Assisted midstream client with various commercial contracts covering infrastructure construction projects for a gathering system buildout. Assisted renewable energy clients in permitting process for wind turbine installations, including mineral ownership certifications required in permit process.

Prepared, negotiated and advised on various transactional matters, including acquisition and divestiture negotiations aggregating over $5 billion in value, including $1.6 billion acquisition of assets in Howard and Martin Counties, Texas, $785MM divestiture of operated assets in North Dakota, $980MM acquisition of assets in Howard County Texas, $800MM divestiture of non-operated assets in the Eagle Ford Shale, $415MM acquisition of assets in North Dakota, $45MM sale of operated and non-operated assets in Louisiana, drill-to-earn farmout arrangement in Permian Basin, $18MM oil and gas lease from mineral owner in East Texas and various 2016 divestiture packages totaling $198MM. Negotiated ~18,000 acre trade in Wyoming. Prepared and negotiated numerous commercial contracts, including roll out of new master service agreements for all company vendors. Implemented company-wide standard revised A.A.P.L. 1989-H form operating agreement with allocation well, production sharing and joint facility language, and advised on process to perfect security interests thereunder. Assisted in the preparation of various company policies, handbooks and related matters. Provided departmental support on litigation matters and ongoing operational matters, including management of various litigation matters, participation in business development team meetings, accounting, land and land administration support, bankruptcy protection strategies, title disputes, warranty claims, personal injury and property damage claims, royalty claims, surface use agreements, pipeline rights-of-way and drill site locations.
