Report directly to CEO; serve as key legal advisor. Manage internal legal function and staff; responsible for department's budget; manage outside counsel, legal fees and expenses. Serve on global executive leadership team, enterprise risk management committee, executive safety council, and crisis management team. Serve as Corporate Secretary. Oversee domestic and international corporate governance. Participate in defining, developing and implementing corporate policies; provide training and ensure compliance. Responsible for various aspects of merger and acquisition processes including due diligence and filing of various government required notices and management of consent decree. Provide legal counsel with respect to regulatory matters (such as health, safety and environmental protection; conflict minerals; export compliance; antitrust; Foreign Corrupt Practices Act; anti-boycott; immigration; etc.). Primary legal counsel to global procurement, global sales and global trade compliance; to human resources function; to internal audit team with respect to ethics and other compliance matters. Manage complex litigation, insurance defense litigation and legal holds. Prepare commercial agreements (nondisclosure, distributor, sales representative, procurement, leases, real property purchase and sale, etc.).
