Review of title and survey, zoning and other due diligence materials related to the acquisition and disposition of commercial real estate properties. Abstract Leases and Purchase and Sale Agreements. Draft closing documents and assemble closing binders.

Primarily, I focus on the review of title and survey for commercial transactions, and those involving Low-Income Housing Tax Credits (from an investor and lender perspective), and renewable energy transactions. I examine documents affecting the title and survey for additional burdens that may affect the properties in question. Other responsibilities include assisting with closings, drafting of closing documents, reviewing due diligence, handling various state and county filings, tax parcel research and following up with post-closing title and survey matters.

• Manage real estate transactions dealing with acquisitions and/or dissolution of commercial property, Freddie Mac Financings / Refinancings and Supplemental loans • Draft assignments, deeds, organizational charts, general certificates and resolutions, contract time lines, operating agreements and various other real estate documents • Preparation of investor documents related to syndication matters; tracking of funds and signed agreements and regular communications with investors• Assist with investor distributions, partnership draws and distribution of tax materials• Formation and dissolution of corporate entities, maintain minute books, file annual reports and other matter on behalf of our clients• Maintain entity databases and investor databases for our clients• Prepare closing transcripts• Prepare zoning presentations and review of due diligence materials• Firm IT representative
