Representative transactions include:•Multiple commercial bank secured financings for real estate shadow bank lender•Complete structuring of international membership network of ultra high net worth individuals to engage in the intra-network exchange of leisure assets including second and third homes, jets, yachts and exotic automobiles•Institutional bulk loan sale and securitization transactions for non-bank lender•Representing hotel owners in negotiating hotel management, technical services, franchise and licensing agreements with international brands including Starwood, Marriott, Kimpton and Hyatt•Representing purchasers, lessors, lessees and owners of real estate including office, industrial, residential and hospitality•Representing employers and senior executives in negotiating equity and incentive based compensation agreements and associated executive employment contracts•Setting up and maintaining corporate organizations such as boards of directors, shareholders agreements, management agreements, independent contractor agreements and other governance structures•Advising on small and mid-market companies on general business matters such as tax, employment, contracts, leasing and licensing.Member, California, District Of Columbia and U.S. Supreme Court Bar.
