Resonant Inc. creates filter designs for radio frequency, or RF, front-ends for the mobile device industry. The Company's product configures resonators, the building blocks of RF filters to select desired radio frequency signals and reject unwanted signals.Resonant was a high-tech startup formed in 2012 by two engineers and a physicist. I was their lawyer and the 4th man in the door. My job changed weekly. We had everyone working full bore on product development except me and our 1 secretary. We did everything else...accounting, leasing, recruiting, buildout, computer system and human resources. I was effectively the CFO for almost two years, including upgrading the accounting system and implementing internal controls. We had to clean up the historical entries and move ASAP to a real GAAP accounting system. We were targeting an IPO within 3 years, and I knew from prior experience that would require an audit trail all the way back to formation. My responsibilities also included negotiating and structuring all the financing deals, structuring the compensation plans (a cash plan and an equity plan), recommending the size and mix for equity grants. Of course, this all required selecting and implementing the advanced accounting policies required by GAAP for all these things. This required getting formal valuation opinions and quarterly updates to them. I also interviewed, selected and (with the blessing of the fledgling Audit Committee) hired four professional firms - an audit firm, an independent consulting accounting firm, a financial services firm (to issue formal valuations for GAAP) and a securities law firm (to document and close the financing deals and confer with on complex legal questions). My job changed daiIy, and it was the best job I ever had!
