Primary duties consist of managing the company’s contracts process, reviewing all contracts, negotiation of contracts, creating and updating company agreements, and assisting the General Counsel with additional tasks and projects, including, but not limited to:• Legal research• Maintenance of corporate and limited partnership records• Maintenance of intellectual property portfolio and enforcement of IP rights• Review and processing of subpoenas• Investigation/information gathering for litigation matters• Legal, labor, and employment advice

• Draft and review independent contractor agreements • Handle various real estate matters including preparation of real property purchase agreements, review of commercial leases, and advising clients of rights and obligations • Draft employment manuals, compose demand letters, and advise clients on various employment law issues, including wage and hour, meal and rest periods, discrimination, PAGA, and FMLA• Form and revive corporations and limited liability companies • Monitor and maintain all corporate records of clients, including annual and special meeting minutes • Defend and negotiate Labor Code §132a claims • Draft estate plan documents, including revocable trusts, irrevocable life insurance trusts, pour over wills, durable powers of attorney, and advance health care directives • Conduct estate plan signings with clients • Handle probate and trust administration
