Transaction Diligence / M&A: Financial Due Diligence• Buy- and sell-side advice on mergers & acquisitions, carve-outs and strategic decisions covering all phases of the transaction lifecycle• Financial due diligences, business modelling / valuation, strategic advice, M&A Lead advisory and SPA advice on mainly German middle-market and cross-border transactions for corporate and financial sponsor (private equity) clients• Financial Data Analytics• Wide variety of assumed responsibilities for projects and team members, frequent contact with clients and meetings with (top) management of clients and target companies• Major fields of work include in-depth analysis of financials, business operations, business plans, industries and markets• Implementation of new accounting principles including calculation of transition effects

• Audit of annual financial statements for SME and PIE• Financial accounting advisory (HGB, IFRS)• Carve-Outs

Project: Expansion to South America:• Lead on strategic corporate, financial and tax process • Identification and analysis of key markets• Advice on specific legislative requirements and corporate or commercial law issues• Tax structuring (incl. planning of tariffs, trade and import duties)
