Resource Finance Transactor
This was the division responsible for most institutional/investment banking interaction with natural resource projects and companies. Due to the complexity of transactions, a team-based approach is adopted across different product groups for servicing the client. Close co-operation with other product areas in the bank (M&A, project finance, leverage finance, private equity and global markets) are essential in providing an optimal solution. My role covered the entire transaction spectrum, most often assuming overall deal execution responsibility and management of the deal team, with continued client engagement throughout the process. Specific aspects of the role being: Deal origination; Deal structuring; Financial modelling; Deal pricing; Negotiations; Obtaining credit approval; Legal negotiation; Maintaining client relationships; Deal execution and finalisation. Transactions related mainly to projects or producers of the following commodities: Coal; Iron Ore; Manganese; Heavy Minerals (Zircon, Rutile, Ilmenite and Chloride Slag); Platinum group metals (Platinum, Palladium and Rhodium); Gold; Base metals (Zinc, Lead and Copper); Carbonates and Lime; and FluorsparDeal and transaction experience broadly categorised:1. Structuring and lending: Primary responsibility being term lending with duration of longer than 12 months to natural resource companies. The financing is usually required for group restructurings, shareholder level corporate actions, re-financings, LBO’s and MBO’s or funding projects or expansions; 2. Advisory: Transactions frequently involve corporate advisory, structuring advisory and debt advisory work to be performed either separately to, or ahead of, any financing requirement; and 3. Equity participation: Although senior, sub-debt and mezzanine funding, either ring-fenced or recourse funding, was the primary lending function, opportunities often arose where equity or quasi-equity risk funding was requirement by a client
