• Collaboratively led the company’s IPO process and the amicable Capital Restructure, exchanged maturing notes for new notes, and amended the credit and operating agreements out of court, avoiding bankruptcy. Led stakeholder relations, drafting, and due diligence and interfaced with attorneys and law firms.• Reduced Legal expenses, saving ~$2.4M annually, by streamlining negotiations, simplifying the company’s contract forms, and creating a system to store and track contracts. Increased vendor satisfaction with simpler documentation while implementing greater safety and insurance coverage limits. • Defeated major litigation with alleged damages in excess of $250M per defendant. Led a defense group consisting of eight companies in preparing strategy and researching and drafting key pleadings and motion.

• Led the legal turnaround for the successful IPO, defeating 55 lawsuits filed following an acquisition, and collaborated with the General Counsel handling the lawsuit and the IPO with regular reporting, hiring legal counsel and experts, and research. The decision was overturned by the appellate court, settled, and the IPO closed in June 2014.• Integrally involved in Eclipse’s successful closing of its IPO in June 2014.• Led the legal department in two high-yield note offerings.

Primary advisor for all Eastern Division departments and states, including Ohio, Pennsylvania, Alabama, New York, and Virginia, representing the Eastern Division Legal Department for the Fortune 100 company. Led the Legal Department in the acquisition of approximately 1 million acres in Ohio. Frequently advised the Acquisitions and Divestiture Department. Drafted and successfully negotiated hundreds of real property, land, acquisitions, business development, IT, and operations agreements.
