Universal Alloys Inc. is a global supplier of manganese and silicon ferroalloys, elements essential in the manufacturing of iron and steel. As General Counsel, I am in charge of all legal aspects of the business, including general corporate, corporate governance and compliance, corporate restructuring, contracts, banking, litigation, regulatory (environmental and trade), employment and immigration. In this role, I continue to act as General Counsel of Universal Alloys's U.S. associated companies, namely, Georgian American Alloys, Inc., Felman Production, LLC, Felman Trading, Inc. and CC Metals and Alloys, LLC.

Georgian American Alloys, Inc. is a major producer and distributor of ferroalloys in the United States, Latin America and Europe.

Felman Trading Americas, Inc. is a global supplier of manganese and silicon ferroalloys, elements essential in the manufacturing of iron and steel.

As an associate in the Global Finance Group, led various commercial transactions in the United States and Latin America, including asset-based securitization transactions (mortgage and auto loans), credit facilities, warehouse facility transactions, secured financing transactions, equity derivatives and general corporate matters. Handled the review, negotiation and drafting of all agreements and ancillary documents related to such transactions.

As a secondee in the Fund of Funds group, represented Credit Suisse International in connection with equity derivatives and secured financing transactions with hedge funds.

As an associate in the Corporate Group, led various commercial transactions in the United States and Latin America, including credit facilities, secured financing transactions, securities offerings and general corporate matters. As an associate in the Securitization Group, represented issuers, trustees, custodians, master servicers and securities administrators in connection with mortgage-backed securities transactions, and mortgage companies in pooled sales and purchases of residential and commercial mortgage loans.

Represented clients from Latin America on litigation matters involving product liability. Handled the drafting of memoranda, briefs and petitions, assisted on depositions, fact-gatherings and filings with the Court. Liaison with law firms in Latin America.

Represented issuers, underwriters and investors in connection with securitization transactions involving payment rights and credit card receivables in Latin America. Represented project lenders and project companies in Latin America.

Advised foreign corporations doing business in Brazil. Advised domestic corporations on many different employment issues, including negotiations with unions to reduce or mitigate contingencies. Managed due diligences in connection with mergers and acquisitions transactions involving foreign corporations.
