• Develop, update and, maintain policies and procedures for the general operation of the Compliance Program and its related activities.• Design, implement, and coordinate awareness, education and training programs that focus on the elements of the Code of Business Conduct, policies and procedures and applicable industry codes and regulations.• Create, implement, and execute Affiliate monitoring plans to ensure compliance with policies and procedures. • Oversight of Affiliate on compliance audits ensuring fulfillment of auditor requests, acting as liaison between the business and auditors during on-site activities.• Leadership of Affiliate Internal Investigations’ Procedures and conducting local Internal investigations, communicating and articulating with AbbVie Global Internal Investigations group as necessary. • Provide guidance on proposed commercial programs, identifying legal, regulatory or other relevant issues referring matters to respective departments, analyzing alternatives and proposing solutions to the business.• Risk management, working collaboratively and transversally with different departments of the company to monitor, coordinate and be aware of the state of regulatory developments, identify trends and implement corrective action plans for resolution and remediation when needed.

• Articulation and implementation of the legal strategic plan to anticipate and address business needs, offer value propositions and solutions, ensuring long-term sustainability for all AbbVie brands.• External risk management including the review and analysis of laws, decisions and events that impact the business, identifying relevant risks, analyzing alternatives, proposing solutions, making recommendations and working together with the Affiliate General Manager, and all different functional areas on the measures to take. • Advice on corporate, labor, imports, price controls, exchange controls, privacy, mergers, acquisitions, antitrust and general legal matters. • Drafting, revising, and monitoring of commercial contracts and litigation coordination with outside counsel.

• Keeping the company up to date with all Venezuelan legal requirements, providing advice on corporate, commercial and compliance matters for different areas of the business.• Monitoring and Evaluation of Advertising, R&D Support, case management and claims to self-regulatory bodies and consumer protection authorities.• Drafting, revising, and monitoring of commercial contracts and oversight of company litigation.
