-Part of Americas Outbound Licensing Team, covering a wide range of contract and licensing issues for the West and Latin America regions. -Negotiate DPA's with customers and vendors to ensure GDPR compliance. -Negotiate contracts with customers, including Software License Agreements, SaaS agreements, non-disclosure agreements, and Consulting Services Agreements. -Provide legal advice to sales, sales operations, and professional services teams with respect to ongoing deals.-Draft customer-related documents, such as assignment agreements and amendments. -Work with internal teams, such as accounting and operations on various legal issues. -Provide advice and guidance on contracts to our India-based legal group. -Assist with non-standard/complicated RFP/RFQ reviews.

 Negotiate and draft Software License Agreements, Professional Service Agreements, Hardware Purchase Agreements, Master Software and Service Agreements, and Supplier Agreements.  Perform legal research related to data and information security, intellectual property, software licensing, employment related issues, etc.  Draft legal documents such as demand letters and assignment agreements Handle immigration matters with respect to international and domestic employees, including processing visa applications, researching current immigration laws of the United States and foreign countries, and coordinating with outside counsel when necessary Collaborate with other company attorneys and stakeholders to develop and discuss international strategy and operations. Analyze Requests for Proposal (RFP) issued by potential customers and prepare legal responses to the same. Coordinate and help resolve legal requests from the operations and marketing divisions of the company  Assist in the contract closure process which includes reviewing signatures, terms and conditions, and other documents that are required in order to process an order from a customer. Attend court occasionally and assist with drafting related documents

- Participated in the negotiation process of new customer contracts. - Reviewed over 2,000 customer contracts, creating a database on SalesForce with the key provisions and information from the contracts. - From the above database, created reports to show trends in the contracts from the beginning of the company up until the current date. - Researched current laws regarding piercing the corporate veil and how a Colorado LLC can protect its members from personal liability, and how the LLC can protect itself from liability based on the acts, debts and other obligations of its wholly owned subsidiaries. - Performed research regarding consumer protection laws.- Reviewed incoming contracts for compliance with company legal standards.

- I worked directly with Doug Hamilton on various administrative projects.- I did research for Doug on the effects of the new "Leahy-Smith America Invents Act," the central provisions of which go into effect on March 16, 2013.- I prepared a "Substitute Statement" which is permitted by 37 C.F.R. 1.64 in the case of an inventor who either refuses to sign or who cannot be found.

•Performed research on a cancellation of removal case, including extensive research on crimes involving moral turpitude and exceptional and extremely unusual hardship.•Performed extensive research on an Asylum case, which involved researching the topic of Temporary Protected Status. •Sat in on initial client consultations.•Helped update Firm website with new content and features.- Served as interpreter during client meetings and other presentations.
