Daniel counsels buyers, sellers, management and lenders in the context of corporate transactions, including restructurings, mergers and acquisitions, as well as transactions involving company stock held by employee stock ownership plans (ESOPs). He also represents public and private companies and employees in structuring and implementing executive compensation packages, as well broad-based equity and incentive compensation arrangements, and with addressing the related compliance and reporting obligations. Daniel helps clients to understand and comply with the various tax laws affecting executive and equity compensation, including the deferred compensation rules under Internal Revenue Code Section 409A, and the performance-based compensation requirements of Internal Revenue Code Section 162(m). He is experienced in structuring, drafting and implementing welfare benefit programs, including severance, health and disability.
