Prosper is America's first marketplace lending platform, built on the simple idea of connecting people who want to borrow money with those who have money to invest. Investors include Sequoia Capital and Credit Suisse. While employed at Prosper, the company tripled employees and more than doubled monthly customer loan originations. My accomplishments and responsibilities at Prosper included the following: • Designed, built, and improved legal processes during Prosper's hyper growth• Served as lead attorney for commercial contracts and subsidiary Prosper Healthcare; assisted with IP, HR, recruiting, employee equity administration, and litigation matters o Contracts: structured, drafted, and negotiated commercial contracts and form agreements (vendor, marketing, promotion, IP, and license agreements); created and launched company-wide legal and procurement review processes for all contracts o Product: drove all legal matters for new product launches in healthcare and home improvement lending o IP: drafted form API and data license agreements; managed outside IP counsel for trademark and patent applications, infringement claims and settlements, and patent troll litigation o Employee equity: advised management on implementation of employee RSU grants • Assisted with $30M acquisition of Tel Aviv-based subsidiary Billguard• Collaborated extensively with marketing and business development: negotiated agreements to onboard >50 referral partners and affiliates; drafted and negotiated marketing agreements to launch Prosper’s first radio and TV campaigns• Co-led 2015 #MyProsperStory video contest of >300 submissions which added >12,000 new Prosper Facebook likes; managed outside counsel, sweepstakes company, and internal PR, compliance, and verification teams
