The following are recent engagements Mr. Berman has led or participated in:• Trustee role for Bank syndicate involving a resort luxury hotel, spa and conference center.• Analyzed hotel financial and physical condition for Lender, including preparing cash flow budget, to assist in decision to take title through a deed in lieu of foreclosure; • Retained by Lender as Asset Manager for foreclosed, partially completed select service hotel;• Under hotel Receivership, prepared report evaluating the performance of hotel operator, including comparing operating expenses against industry standard ratios;• During role as hotel Receiver/Manager, provided sales and marketing guidance to improve hotel operating performance; • On behalf of Lender, assisted in forensic audit of select service hotel which opened new depository accounts without Lender’s approval; • Assisted in preparation of $60 million financing request in connection with the refinancing of a mixed used development, including a hotel, retail, and parking garage; • Advised private real estate investment company while it was seeking to acquire a resort boutique hotel;• Assisted private real estate investment company perform financial due diligence during the acquisition of a 300+ unit resort condominium;• Performed financial and asset analysis for debtors and creditors during hotel bankruptcies; • Served as advisor to a government agency and assisted in restructuring affordable housing multi-family loan.

Provided advisory services to hotel, real estate and investment companies.• Advised private equity firm in its bid to invest in a Latin American hotel company (portfolio of 48 hotels, 5,000 guest rooms)• Co-developed $18 million 180 unit class “A” apartment home community. Subsequently, transacted the sale of a 50% interest delivering a 225% payback to investors. • Analyzed a multi-billion dollar acquisition of a US hotel company (600+ hotels, 76,000 guest rooms) for a private real estate investment company• Evaluated proposed sites for mixed use development (retail, office, and residential) for a private national real estate company• Assessed development services function for a national hotel franchisor (three brands, 500 hotels). Prepared strategic plan to expedite growth of flagship brand.• Sourced and planned a 160 unit apartment community. Prior to construction, development group sold parcel to an unrelated party at a significant gain.

Hired by CEO/President Mike Leven to create new strategies to accelerate the growth of the Company’s franchised hotel brands Microtel Inns & Suites and Hawthorn Inns & Suites (400 hotels). Plan resulted in the construction of 40 new hotels.Advised hotel developers on site and market feasibility, planning and budgeting, project finance, land acquistion and due diligence, selecting architects and contractors and obtaining permits and approvals.

Hired by President/CEO David Krischer to lead hotel franchise company.• As VP, Franchising and President of Suburban Franchise Systems, Inc., grew Company from a single brand of 6 hotels in three states to a multi-branded company of 200 hotels in 25 states. • Led hotel franchise company, including sales and development, design and construction, operations, quality assurance and administration functions. • Actively involved in Company’s IPO and follow-on offerings raising close to $200 million.• Sold 60 hotel franchises and 15 management contracts.• Participated in the acquisition and integration of the Company’s second hotel franchise brand GuestHouse International.• Recognized as a brand leader by the American Hotel & Lodging Association.
