Provide tax due diligence and structuring services related to private equity and strategic corporate entity pursuits.

Member of a nationally focused team of tax professionals tasked with implementing various solutions and developing and incubating new federal tax planning opportunities. Perform comprehensive reviews encompassing all aspects of a company's worldwide tax position, as well as capital expenditure reviews, accounting period and method reviews, and revenue recognition/ receivable reviews.

Obtained significant experience with international and federal tax issues. Conducted a debt vs. equity analysis of intercompany loans between subsidiaries of a multi-national corporation. Worked on a review of a multi-national's second quarter provision for income tax in accordance with FAS 109. Monitored state and local legislative activity in regard to economic development and property tax incentives.

Worked with various aspects of commercial legal issues including construction, condominium, mortgage and real estate law. Also gained exposure to state administrative law and procedure.

Drafted complaints, answers, motions and briefs in connection with various legal proceedings. Also prepared purchase and sale agreements, non-competition agreements and lease agreements. Actively participated in a civil jury trial.

Prepared Federal and State Forms 1040, 1120, 1120S and 1065. Drafted financial statements on compilation and review engagements. Worked on Department of Housing and Urban Development (HUD) Audits.
