Executive management team for the leading online personal styling service. Responsibilities included:• Management & Leadership: Built in-house legal and cybersecurity teams (25+ people). Helped lead 10,000 person company through executive changes (CEO, CFO, etc.) Led Stitch Fix's company-wide Corporate Social Responsibility (CSR) program. Executive sponsor of Stitch Fix's Black & African American employee resource group.• Capital Markets: Led company's IPO (2017). • Corporate Governance: Key advisor to Board of Directors on all committee matters, director recruitment, executive compensation matters, risk assessments, etc. • Cybersecurity and Data Protection: Managed cybersecurity team from 2018-2022, growing team to 20 and increasing security maturity significantly. • Intellectual Property: Responsible for defining and executing on company’s IP strategy, including patent portfolio development, trademark protection and resolving IP litigation.• General legal - Responsible for broad set of employment, litigation and compliance matters. Managed outside counsel. Managed corporate insurance programs.

Member of management team for 200-person startup innovating the pre-owned car market. Responsibilities included:• Government Affairs: Responsible for advocacy strategy, building relationships with state governments, negotiating with regulators, overseeing compliance and managing external lobbyists.• Product Counseling: Responsible for advising product team on compliance with dealership licensing and advertising rules and consumer finance laws in developing and launching new products.• General Legal: Responsible for corporate governance, real estate, employment law matters and employee training.

Member of senior management team that grew company from $30M to $250M in revenue and from 300 to 1,100 employees. Led the successful IPO in 2012 and sale to Zillow for $3.5B in 2015. Responsibilities included:• Management: Built in-house legal team that was one of the most diverse teams at the company. Managed outside counsel. Helped manage human resources function prior to hiring of human resources executive.• Capital Markets: Managed $100M IPO, $200M secondary and $200M convertible debt offerings, including due diligence and SEC filings. Key advisor in banker selection and internal and external communications.• Mergers & Acquisitions: Negotiated and managed public-public mergers ($3.5B sale to Zillow and $400M acquisition of Market Leader). Advised management and board of directors on deal risks and litigation. Responsibilities included:• Corporate Securities & Governance: Managed IPO process, including diligence, drafting and filing S-1.• Complex Commercial Deals: Negotiated software-as-a-service (SAAS), OEM, marketing and manufacturing deals with enterprise customers and partners.• Litigation: Responsible for settling major patent litigation with larger competitor and resolving other commercial disputes.• International: Managed international expansion efforts and subsidiary structure.• General Legal: Responsible for patent portfolio strategy and IP protection, employment law matters and employee training.

Following the sale of Danger to Microsoft, became the lead attorney for 500+ person business group within Microsoft’s mobile communications division. Responsibilities included:• Strategic Relationships: Negotiated strategic relationships with manufacturers, silicon vendors and mobile operators.• General Legal: Supervised all product team legal matters, including IP issues, data privacy and international matters.

Member of leadership team for $100M+ revenue, 300+ employee mobile technology company. Built in-house legal team and managed outside counsel. Responsibilities included:• Corporate Governance: Responsible for compliance with and advising board of directors and committees onSEC regulations, stock exchange rules and related Sarbanes-Oxley matters.• Corporate Securities & Finance: Led IPO process, including managing deal team, diligence, drafting and filing form S-1. Negotiated $100M+ in venture capital and debt financings. Managed relationships with investors and lenders.• Mergers & Acquisitions: Negotiated and managed $500M acquisition by Microsoft. Responsible for diligence activities, negotiating agreements, modeling returns and communicating with the board of directors and investors.• Complex Commercial Deals: Negotiated SAAS, hosting services, software license, marketing and manufacturing deals with mobile operators, internet portals and OEMs in 10+ countries.• General Legal: Responsible for all litigation, intellectual property, international and employment law matters.

Clara Belfield and Henry Bates Overseas Fellowship funded my internship at the EU Directorate General for Competition. I worked in the Telecoms Group helping investigate alleged antitrust violations by member state incumbent telecom providers.
