I assist stakeholders in protecting, recovering, growing and ultimately realising maximum value from their equity or quasi-equity positions, most commonly by representing them on a board of directors in the (typically 12-24m) period leading up to a sale. This is often in a non-executive director position, but has also been in CEO, quasi-Chairman and consulting roles. At the same time, I bring good governance, professionalism, challenge and a very commercial mindset to a board of directors, which has been gained by working with many company boards for over 20 years. I have Holdco board, Opco board, Remuneration Committee, Audit Committee and Credit Committee experience. My deal sheet includes NED roles on Watches of Switzerland Group (formerly Aurum Holdings) and Fat Face, both large retailers, but my experience is also across many other sectors including automotive, manufacturing, creative, leisure and services in the UK, EU and USA (revenue range £25m to £500m). With my background in the Leveraged Finance/Private Equity market since 1996, I understand and have represented multiple stakeholder perspectives, including equity, mezzanine, debt and management and have the added hands-on experience from an executive role in a multi-faceted operating business. I’m passionate about delivering better outcomes wherever I get involved and I’ve done so repeatedly, sometimes spectacularly. e.g. Aurum Holdings, which won the Private Company Turnaround of The Year 2013 award at the Institute For Turnaround. Overall, I’ve been involved in the sale of 11 businesses since 2008. Better outcomes for who? Ideally, all the stakeholders - from shareholders to lenders and, of course, the people. I’ve had many more successes than failures and learned from every situation. Integrity and fairness are hugely important to me and I am very much a people person – I love developing people and I’m never happier than when debating in and among a team. Equally I don’t shy away from taking and executing difficult decisions.I have capacity to operate on a portfolio basis and I’m always happy to discuss any situations that I may be able to help with on a no-commitment basis.

Revenue approx. £25m p.a.I helped stabilise the business, professionalised the business with introduction of more formal procedures, encouraged better communication and information sharing with second tier management to assist in managing profitability, encouraged more inter-company working, negotiated new terms with landlords, renegotiated banking facilities, managed costs tightly, including headcount reduction to accomodate fluctuating revenue, aligned key management and ultimately helped prepare VCG for sale in a highly competitive market. M&A process was run without advisors and I met potential buyers over a 12 month period, ultimately leading to the successful trade sale in January 2017 and a good outcome for all stakeholders.

Managing Director, Risk & Portfolio Management - Leveraged FinanceLbi Hf (Formerly Landsbanki Islands Hf) Jan 2008 - Jan 2015Originally recruited Jan 2008 to head up the (Originated) Leveraged Debt Portfolio of c£750m and develop a portfolio team. Typically lead bank or bilateral debt positions in small to mid cap companies (including retail/automotive/manufacturing/service businesses).Following collapse/insolvency of the bank in Oct 2008, I played an integral part in the restructuring and controlled realisation of the c£2bn debt book plus equity positions. Personally realised c£400m (face) of loan assets in a controlled way over 6 years. Pro-actively managed a diverse range of performing and non-performing leveraged Senior Debt/Mezzanine/PIK and Equity risk positions across UK, Europe and USA, usually from a lead or joint lead perspective. Light touch to deep restructuring work, including negotiation of follow-on investment from financial sponsors/shareholders, debt-for-equity swaps and several “manage-outs”. Successfully completed several disposals via M&A processes, generating significant recovery/upside for the bank. Sat on 2 UK company boards as a non-executive director, representing significant equity position for the bank. Member of London Credit Committee. -

I joined the Holdings board as Non-Executive Director (Investor Director for LBI hf) in November 2009 upon completion of the restructure/acquisition. I was also appointed member of the Audit and Remuneration Committees. From that point on, I was an active member of the Holdings board, which delivered significant performance improvements through Operational and Strategic measures, including store rationalisation, brand rationalisation, strengthened management team, increased focus on buying, development of gem strategy, including new brand introduction (Canadian Ice), diversity into young fashion segment (boutique.Goldsmiths launched 2011) and delivery of the first high end Watches of Switzerland superstore (Regent Street) and reduction in HO costs.The business outperformed the restructure plan significantly and reached previously unattained levels of profitability.
