Advises the Board on its roles and responsibilities as a fiduciary of Lions International;Provides orientation to new Directors and Trustees, and provides training and development on matters relevant to the respective board;Reviews and maintains key corporate documents and records including board meeting minutes. the board policy manual and the employee handbook;Responsible for corporate disclosure and compliance with state corporation laws, annual filings and foreign registrations;Monitors corporate governance developments and assist the Board in tailoring governance practices to meet the needs of the association;Serves as a focal point for member communication and engagement on corporate governance issues;Provides guidance and oversight of data privacy program and develops data transfer agreements as necessary to ensure business continuity;Serves as a legal resource and coordinates with Human Resources to help achieve compliance in managing offices and staff abroad;Provides prompt advice to officers and directors on all legal matters pertaining to the association.

 Provide counsel to cross-functional information security and privacy teams regarding applicable U.S. and foreign data privacy regulations, including, but not limited to, GDPR, CCPA, CASL, and LGPD. Serve as staff liaison for International Board of Directors, providing guidance and clarification on internal policies and procedures to ensure the Board members are equipped to make informed decisions. Support privacy advisory committee that includes leaders from privacy-focused countries, who seek to establish a pragmatic approach to global data privacy compliance.  Collaborate with marketing, product development, membership development, IT and service departments to provide appropriate guidance and compliance oversight for global products and programs.  Review and negotiate a variety of contracts on behalf of business units, including, but not limited to, marketing, product development and IT, and provide feedback and guidance as appropriate.  Clearly communicate with subordinate Lions Clubs to provide timely guidance on constitutional and procedural matters involving Lions club or the supporting administrative structure. Provide counsel regarding internal procedures to ensure that disputes are resolved in an efficient, fair manner that is consistent with the governing documents of the organization. Assist the general counsel in providing oversight and support of the association’s risk assessment and risk management, litigation and trademark portfolios. Provide operational support for Lions Clubs International Foundation, including, but not limited to, managing the charitable registration and charitable solicitation compliance, reviewing corporate partnership agreements and ensuring donor gateways meet requisite data privacy and data security requirements.

- Determine benefit eligibility under Social Security rules and regulations for prospective clients.- Gather detailed information pertinent to clients’ claims via phone and in-person interviews. - Provide counseling on all matters relevant to a client’s needs, including advice, education surrounding legal rights, access to resources and referrals as necessary.- Present succinct, well-developed cases to Administrative Law Judges based on strong applicable arguments. - File timely appeals to the Appeals Council and Federal Court as necessary.- Problem-solve with support staff to improve efficiency and cut cost; develop, adjust and implement procedures office wide.- Maintain an efficient, collegial environment for clients by providing guidance and support to office staff.

- Assist Chief Legal Officer in reviewing, writing and negotiating contracts.- Collaborate with executive management to create practice methods that safeguard against State and Federal regulatory compliance.- Communicate new procedures to all branches of the corporation.- Review HIPAA guidelines and provide implementation solutions to Chief Legal Officer and executive management to ensure compliance.

E-document review and support on an as-needed basis.

- Keep up to date research materials on specific legal topics pertinent to the supervising attorney.- Compose inter-office memoranda based on research findings.- Assist in trial preparation. - Observed motions in limine, mediations, jury selections and trials, depositions, and intake meetings with potential clients. - Examined client files prior to filing motions.

Provide supplies for production workers, load and unload railway cars and flatbed trucks as necessary. Unload production lines and safely store lumber.

Work on team to maintain safe railway system. Provide supplies to members of steel gang who was tasked with replacing aged track. Remove and replace ties while maintaining safe tracks so as to not interrupt transportation goals by holding up trains.
