While my responsibilities include being the sole legal counsel for Hong Kong Studio and other regional Riot offices, I am not restricted to the world of legal. I wear as many hats as I find I can handle, tackling problems of all kinds, with the goal of creating an inspiring environment that fuels my fellow Rioters for delivering world-class player experiences. On any given day, you could find me doing the following:• Advising Riot and Hong Kong Studio leadership, charting the course for projects big and small, always with a view on long term impact over short term gain;• Exploring strange, new aspects of the legal industry and jury-rigging solutions to unknown problems;• Managing Riot’s relationships with specialized outside counsel and collaborating to find ways to get things done;• Organizing on site learning opportunities for Rioters to level up their craft;• Drafting a variety of commercial agreements including vendor, licensing and publishing agreements, review employment-related documents while complying with privacy and data protection standards, and handling IP enforcement matters; and• Working my way out of Silver (anyone want to carry me?).

• Selected for secondment assignment as in-house contracting counsel with client, Accenture plc, assisting with project management and drafting, preparing, negotiating, and reviewing project proposals, consulting agreements, technology license agreements, teaming agreements, master services agreements, and statements of work. • Led negotiations and drafted definitive agreements for private equity and venture capital firms, including Intel Capital, Cathay Capital, Northern Light Venture Capital, and Themes Investments Partners, in their equity or debt investments, including investments into Chinese companies using variable interest entity structures.• Represented emerging growth internet and technology companies in cross-border matters including formation, corporate governance and restructuring issues, private equity and venture capital financings, and technology licensing transactions.• Assisted U.S.-based companies in forming partnerships with China-based firms to license and commercialize technology in the Chinese market.

• Led legal diligence, drafted principal and ancillary agreements, assisted in negotiations, and oversaw the final execution for a client’s acquisition by Zynga.• Represented over 100 emerging growth internet and technology companies, such as Instagram, Uber, and TaskRabbit, in transactions ranging from initial formation to securities regulation compliance, venture capital financings, mergers and acquisitions, and corporate governance matters.• Negotiated and drafted commercial contracts on behalf of clients, including license, platform, and partnership agreements.• Counseled founders on formation-related decisions, such as the appropriate corporate structure for the company given the client’s long term goals.• Advised clients and board members on issues of corporate strategy and law during client board meetings.

• Represented emerging growth internet and technology companies in transactions ranging from initial formation to securities regulation compliance, venture capital financings, and mergers and acquisitions.• Drafted equity and debt financing documents, and ancillary merger documents (more than thirty financings).• Participated in board meetings and advised clients and board members on issues of corporate governance.• Modeled distributions on liquidity events and pro forma capitalization tables for complex dilutive financings.• Assisted in preparing Form 20-F annual report filing with the Securities and Exchange Commission and produced 20-F factual backup volume for internal records and risk management filing purposes.• Prepared numerous company statements of information packages for circulation to company stockholders.• Provided pro bono legal assistance to nonprofit organizations such as Election Protection and Project Homeless Connect.
