Providing legal support on contracts involving hardware and software development and procurement, technology licensing, and professional services, with a focus on regulatory compliance, data protection, privacy, product development and intellectual property. Responsible for all legal aspects of a NASDAQ listed (IOTS) fabless semiconductor and embedded systems technology company focused on Internet of Things edge devices. Advisor to Management and Board of Directors, secretary and compliance officer, privacy officer, and leader of company legal affairs, including corporate, litigation, regulatory, commercial and intellectual property. Integrated legal function for Company and its acquired entities (publicly listed Echelon Corporation and Ireland based S3 ASIC Semiconductors Limited with its multiple European engineering teams). Bridged cultural and regulatory issues through standardization of forms and training sessions, including quarterly Lunch with Legal programs. Company acquired by Dialog Semiconductor in June 2020.

Responsible for all legal aspects of a wireless company focused on radio frequency identification products and technologies. Responsibilities included management of legal personnel, corporate secretary and compliance officer, investor relations, support for direct and channel sales, merger and acquisitions, intellectual property portfolio management, technology/software licensing, antitrust guidance, litigation management, and human resources support. Representative accomplishments:- Completed joint venture transaction involving a China based investor group that acquired 51% ownership interest in the Company in 2014.- Completed all steps necessary for trading on NASDAQ, including S-1 preparation and obtaining SEC clearance. (IPO withdrawn two days before planned pricing.)- Closed multiple rounds of financings and debt offerings in excess of $200 million.- Prevailed in two separate bet-the-company patent infringement disputes.- Active participant in industry standards setting organization (EPCglobal).- Founder and incorporator of the RFID Intellectual Property Licensing Consortium, which removes patent barriers to growth of UHF RFID industry by providing access to essential patents of Consortium members.

Legal counsel at the VP staff level for various product groups including the Sun Linux, Networking and Security, Telco Software and Server Appliance (formerly Cobalt Networks) business units. Negotiate, draft and support strategic OEM relationships, joint ventures, technology licensing and other intellectual property agreements. Responsible for legal issues related to hardware and software design and development, due diligence and compliance, and for providing support to sales, export, trademarks and marketing legal groups. Involved with cross company teams to solve functional, strategic and policy issues, assuming leadership roles related to Linux and other open source software licensing. Acted as legal representative to Sun Privacy Committee.

Served as first in-house counsel for NASDAQ listed manufacturer of Linux based server appliances and data storage devices, successfully closing its $2 billion acquisition by Sun Microsystems ahead of schedule. Developed corporate legal strategy and provided counsel for sales and distribution, customer support, professional services, product engineering and marketing groups at various points during product development and distribution.

Director level position handling domestic legal and compliance issues for a $2.4 billion, 12,000 employee transportation and logistics company. Supported global sales force and negotiated worldwide strategic partner alliances. Supervisory position responsible for two attorneys and one paralegal. Promoted from Law Clerk, Real Estate Counsel and Corporate Attorney positions to manager of domestic legal function.

Responsible for case management from initial intake through litigation, trial, and post-trial collection activities, at general civil litigation firm.
