David Bayless is a partner in the San Francisco office of Covington & Burling and co-chairs the firm's Securities Litigation and Securities Enforcement practice groups. Mr. Bayless focuses on SEC enforcement work, internal investigations, and private securities class actions. Mr. Bayless was previously the head of the San Francisco office of the SEC. Mr. Bayless is an experienced trial lawyer having litigated to verdict numerous cases in federal, state and SEC administrative forums. He represents public companies, board members and senior management. He has extensive SEC experience involving financial reporting and accounting fraud, the Foreign Corrupt Practices Act (FCPA), whistleblower complaints, mortgage-backed securities and insider trading. He regularly represents broker-dealers, investment advisers, mutual funds and their employees in SEC and FINRA investigations. He also represents issuers, underwriters and public officials in SEC municipal securities investigations. Mr. Bayless is also an experienced expert witness on the policies and procedures of the SEC's enforcement division.
