At Airgas, an industry-leading industrial, medical and specialty gas company, I draft and negotiate a broad range of commercial contract matters on behalf of the Airgas National Procurement, IT Procurement and Hardgoods teams with pragmatic and business-minded considerations. Typical contract matters include fleet management agreements, carrier services agreements, third party logistics agreements, fuel gas purchase agreements, professional services agreements, equipment installation agreements and equipment leases, software license agreements, and safety and welding product purchase agreements (including for our RadnorTM private label products). I advise both client groups on questions relating to antitrust, import/export law, California Proposition 65 and other hazardous materials regulations, and data privacy laws.

At AB, a Fortune 8 and an industry-leading pharmaceutical distribution company, I managed a diverse portfolio of matters for the Strategic Global Sourcing team, with primary support responsibility for Consumer Products sourcing and marketing, AB’s generic repackaging subsidiary’s sourcing and distribution, brand and specialty drug sourcing and marketing, and indirect (goods-not-for-resale) sourcing. I drafted and negotiated national and international pharmaceutical purchase and distribution agreements, GPO agreements, data agreements, services agreements and vendor agreements (including SaaS and PaaS agreements); as well as guided clients through complex compliance questions involving antitrust, FDA, CPSC, Medicare, Medicaid, VA, DoD, HIPAA, CAN-SPAM and data privacy laws. Notable achievements include:• Proactively navigating AB’s private label and generic drug repackaging subsidiaries through complex FDA, cGMP, Veterans Healthcare Act and Medicaid compliance questions;• Negotiating agreements with solution-oriented, out-of-the-box thinking to meet same-day deadlines for the Consumer Products Sourcing division during the COVID-19 PPE purchasing surge in the Spring of 2020; • Assisting with the successful commercial launch of an online B2B consumer products’ marketplace while ensuring its compliance with FFDCA, CPSA and other applicable regulations; • Leading internal and outside counsel due diligence of multiple AB subsidiaries for potential sale; and• Independently drafting and managing the execution of over 300 contract amendments over each of Summer 2019, 2020 and 2021 ahead of schedule.

My areas of focus in Duane Morris’s Corporate practice group included drafting ancillary documents for middle market mergers and acquisitions, assisting start-ups in their formation and early-stage investing, and preparing briefs analyzing the relationship between corporate securities and gaming law, and their applicability to certain clients. I also regularly managed a diverse portfolio of pro bono projects.

Represented a Massachusetts nonprofit organization in transferring its jurisdiction of incorporation to the District of Columbia and in obtaining 501(c)(3) charitable organization status;Represented a District of Columbia benefit corporation in its regulatory compliance matters;Collaborated with fellow student attorneys in producing a returning citizens white paper to be distributed by the clinic.

Researched United States medical marijuana policy across all 50 states to generate a forecast of those states most likely to require insurance carriers to cover patients’ medical marijuana costs;Conducted 50-state surveys concerning various evolving insurance law topics, including third-party administrator and adjuster licensing, surplus lines broker taxation and workers’ compensation.
