Deputy General Counsel
CurrentLead counsel for (i) AIG’s Latin America & Caribbean operations, (ii) AIG’s Multinational business, (iii) AIG’s Corporate Governance & Transactions Group, (iv) AIG Bermuda, (v) AIG Risk Consulting/Engineering, and (vi) AIG’s India-based data analytics center (until divestiture in 2021). Oversee team of approximately 30 legal professionals in New York, Miami, Vermont, Bermuda, Brazil, Canada, Ecuador, France, Mexico, Puerto Rico and Venezuela. Oversee regulatory relationships in approximately 25 jurisdictions; handle complex legal, regulatory, tax, corporate governance, litigation, labor/employment and commercial matters.Serve as officer - - primarily General Counsel and Secretary - - for nearly 50 subsidiaries across the U.S., Latin America, Bermuda and India; serve as director of several subsidiaries.Oversee corporate governance and transactions for almost 100 AIG subsidiaries globally; manage and vet director and officer appointments globally, including independent director appointments.Provide guidance on complex cross-border multinational insurance placements; develop guidance, training and internal / external thought leadership.Provide advice and support on complex legal, regulatory and tax matters impacting our Risk Consulting / Engineering team, consisting of 300+ in-house engineers globally plus external engineering vendors.Established Facultative Reinsurance Desk based in Miami, and its Colombia Representative Office (similar to a branch) to target Latin America reinsurance business; built out operational infrastructure, shepherding the Desk and Rep. Office through reporting obligations, vendor contracts, privacy / data requirements, underwriting structure / authorities and corporate governance.Key role in shaping AIG’s evolving position in Russia, including divestiture of AIG’s presence in Russia.Key role in AIG’s divestiture of its Life & Retirement business, rebranded as Corebridge Financial (now publicly traded).
