Senior Counsel
Current- Negotiating and drafting contracts of all kinds, including high value sales and purchasing contracts; complex warranties; up to $1.5 billion- Contract management process development and supervision- Manage mergers, acquisitions and divestitures, including spin-offs and IPOs; values $10 million - > $1 billion.- Real estate transactions, including leases, financing and sale-leaseback arrangements up to $500 million- Environmental issues including Superfund sites- Commercial litigation management including bankruptcy; release drafting up to $150 million- Federal government contracting- Antitrust issues- Human resources issues- Commercial insurance issues- Corporate compliance and ethics issues, including oversight of policy approval and drafting- Collaboration with IP counsel including licencing and joint development agreements- Bankruptcy- International trade issuesSpecific Focus Areas: contract drafting and negotiating (including government contracting); antitrust; corporate compliance; mergers, acquisitions, divestitures; environmental law; litigation management; international trade issues; lobbying law; advertising law; client training (live, on-line, in-house videos) for all of these areas; policy drafting and approval.
