Key responsibilities include:• International Transaction Management - Lead high volume of international and domestic aviation leasing transactions, from negotiation and drafting letters of intent and subsequent lease agreements directly with a variety of airlines through to closing of such transactions upon delivery of new and used aircraft to lessees.• Aircraft Portfolio Purchases and Sales - Spearhead a multitude of aircraft portfolio sales and purchases to and from competing aviation lessors involving lease assignments in several challenging jurisdictions.• Litigation and Dispute Resolution - Manage litigation and pre-litigation strategy and implementation to conclusion, including on one such matter successfully turning a potential $1m liability into an actual $3m gain.• Vendor and Procurement - Review and negotiate a plethora of time-sensitive inbound agreements for parts and services related to aircraft maintenance and refurbishment, creatively managing business needs while keeping within ACG’s risk tolerance.• Restructurings, Bankruptcies, Repossessions - Represent ACG’s interests in matters related to airlinebankruptcies, insolvencies and restructurings, leading efforts to repossess aircraft in (sometimes) hostile regulatory jurisdictions.• Process Improvement - Maintain ACG’s template documents, regularly updating the forms by collaborating with internal stakeholders and developing the language necessary to solve potential legal, technical and commercial issues, anticipating and mitigating ACG’s risk.• International Regulatory and Tax Structuring - Analyze aviation regulations in dozens of jurisdictions toconform leases with regulatory requirements, and structure transactions to minimize ACG’s potential tax burden. • Complex Commercial Agreements - Creatively solve highly complex commercial issues by drafting bespoke agreements.

Draft and negotiate sales and purchase agreements, sale-leasebacks and operating leases for aircraft in the MC Aviation portfolio.

Represented banks and ship owners in the financing of seafaring vessels.

Negotiate and draft credit agreements and related financing documentation, sale and lease agreements, master services agreements, guaranty agreements, outsourcing agreements, securities offerings, joint venture and strategic alliance agreements with significant technology licensing components, satellite insurance policies, and satellite regulatory filings, each on an international and domestic basis.Demonstrated ability as lead associate working closely with senior management and financial advisors, supervising junior associates and local counsel and playing a critical role in successfully closing transactions.Examples of high profile cross-border transactions include:o the $1.2b debt and equity financing for the O3b Networks satellite constellation; awarded Project Finance Magazine’s “African Telecoms Deal of the Year,” Project Finance International Magazine’s “African Telecoms Deal of the Year,” and Trade Finance Magazine’s “Deal of the Year”,o the $1.8b facility for the Iridium next-generation satellite constellation financing; awarded Project Finance Magazine’s “Telecom/Satellite Deal of the Year,” Investment Dealer’s Digest’s “Telecom Deal of the Year,” and Trade Finance Magazine’s “Deal of the Year”, ando the $228m loan guarantee for Hispasat for the Amazonas-3 satellite; awarded the 2012 Deal of the Year award from the Export-Import Bank of the United States.
