My practice is characterized by its emphasis on ever-evolving regulatory and compliance landscapes and emphasis on thought-leadership and learning. I have the opportunity to be published speak on current and evolving developments in the world of crypto, blockchain, Web3, Artificial Intellegence, and Machine Learning, including repeated publication by the National Law Review and Law360.I also work on traditional corporate and securities matters, with an emphasis on private and public securities transactions, disclosure reporting, and offering remediation, as well as representing both large and small companies on all aspects of business formation, fundraising, mergers and acquisitions, and regulatory compliance, including advising clients through a variety of alternative securities offerings (Reg A+, Reg D/Rule 506(c), Reg S, and Reg CF).

I teach Business Associations, covering major topics in the law of agency, partnerships, limited partnerships, limited liability companies, and corporations, as well as selected aspects of the federal securities laws. I have previously co-taught Introduction to Financial Technology: Cryptocurrencies, Blockchain, and the Law. The course aims to provide a fundamental understanding of this evolving area by focusing on (i) how blockchain and cryptocurrencies work, (ii) how they are used in business today and how they are likely to be used in the coming years, and (iii) how they are regulated, with particular emphasis on the U.S. federal securities laws.

With the support of a fractionalized Chief Compliance Officer (CCO), clients are afforded affirmative and ongoing compliance oversight and strategic counsel. CCOs work to maintain and update policies and procedures, incorporating evolving best practices in real time, which are in turn incorporated and codified in each client’s bespoke compliance manual. Each client’s compliance manual is then reinforced by continuous testing – from periodic assessment and review of digital asset risk ratings and certain communications (email and otherwise), CCOs monitor marketing materials (website content updates, marketing materials/campaigns, etc.) and social media traffic. By conducting ongoing testing, clients are positioned to respond to any compliance deficiency or regulatory inquiry affirmatively and confidently.
