I am the head of the business affairs department and general counsel of the company. I manage a broad range of domestic and international matters related to the company’s activities in original scripted television development, production, distribution, digital media exploitation, and extensive film library consisting of over 1,100 titles. • Representative transactions that I have closed at Sonar include development deals with A-list writers, directors, executive producers and talent for original scripted television productions, etc.; multi-million dollar sales agreements with broadcast and cable television networks in the United States and around the world for library titles and original mini-series productions; a deal with Google/YouTube to launch a new paid subscriber channel of TV movies and mini-series; content sales and licensing agreements with Amazon, Netflix, Hulu, Vudu, iTunes, and other digital and online media outlets.• I also manage the company’s corporate, litigation, employment, and other legal matters. I was promoted from VP, Business & Legal Affairs to SVP and General Counsel in August 2013.

For over 11 years, I was the lead legal affairs lawyer for Food Network and handled almost every single talent, production, license, marketing, and business development agreement for the network. I also provided a wide range of legal services for the company's other television networks and websites. • Significant transactions include multi-year deals for celebrity talent, master production agreements for original programming, JV with Hearst Corporation for the launch of Food Network magazine (the most successful magazine launch since Oprah magazine), a multi-year book deal with HarperCollins, a deal for Food Network-branded venues at Yankee stadium• Advised on all competition reality television programming, including the top-rated series, "Food Network Star" and "HGTV Design Star"• Advised the business development department across all network brands, principally in the area of licensing out brands for merchandising; played a key role in on-going relationship with Hearst and the JV board of directors meetings• Supervised legal affairs for promotions and advertising across all networks, including HGTV Dream Home, Green Home, and Urban Oasis, which are the largest and most successful television-related promotions (responsibilities include negotiating the real estate acquisition and construction deals for each home giveaway)• Advised senior management on wide variety of issues and solutions• Conceived of the idea for the HGTV Green Home Giveaway as a multi-media marketing opportunity for advertisers to showcase eco-friendly products and educate viewers. Since 2008, HGTV has given away a LEED-certified HGTV Green Home in a promotion that each year generates approximately 20 million entries, is the focus of television specials, internet content that is the #1 visited destination on HGTV.com during each promotional period, and attracts major automotive, manufacturing, and retail sponsors, including General Motors, Shaw Carpets, Sears, Kohler, SC Johnson, etc.

Media and entertainment practice with principal emphasis on independent film production in office of attorney/producer whose credits include "Committed" (Miramax), "Flirting with Disaster" (Miramax), "Manny & Lo" (Sony Pictures Classics). Performed substantial negotiation and drafting of licensing, production, development, talent, producer, director & key crew agreements, music licenses, and book options with major entertainment companies (Paramount, Sony, Disney, etc.) and talent agencies. Handled day-to-day production issues (obtaining releases, resolving crew & SAG disputes, etc.). Counseled domestic and international clients on copyright issues, general corporate and litigation matters, and foreign sales agreements. Drafted and negotiated distribution and foreign sales agreements for film and television.

Worked as an associate in the Los Angeles (1991-92) and New York (1992-96) offices of Rogers & Wells prior to the merger with Clifford Chance. Summer Associate, Los Angeles Office (1990). Responsibilities included:Intellectual property, securities, and contract litigation. Participated in all aspects of discovery. Drafted memoranda, motions, and briefs. Involved in development and execution of case strategies. Assisted with state and federal trials and an international arbitration.
