David Niebauer has over 25 years of domestic and international corporate legal finance experience, with a particular focus on technology companies and intellectual property. He has represented numerous companies in complex M&A and financing transactions with a total transaction value in excess of $500 million, and has represented innovative technology companies as General Counsel including Energy Transition Fund (www.energytransitionfund.com), SRECTrade, Inc. (www.srectrade.com), Smart Wires Inc. (www.smartwires.com), Brillouin Energy Corp. (www.brillouinenergy.com), BrashTech (https://brashtech.com/), Urloop (https://urloop.com/), TerraPass, Inc., Carbonflow Corp., Zenergy Power, Inc. and LumiGrow, Inc. (www.lumigrow.com). Prior to forming his private practice, David was a Partner with the San Francisco law firm Graham and James LLP (now Squire Patton Boggs) where he specialized in securities law, venture capital financing and M&A. David received his B.A. from the State University of New York, magna cum laude, his Master's degree from the University of Michigan and his J.D. from the Brooklyn Law School, where he was Articles Editor of the Journal of International Law. David brings a wealth of experience, financing contacts and business acumen to his practice and has significant experience in as all aspects of corporate finance, intellectual property strategy and licensing, start-up representation, M&A and general counsel practice.
