• COO and General Counsel for Tornante Television, a subsidiary of The Tornante Company, an independent studio founded by Michael D. Eisner, former Chairman & CEO of The Walt Disney Company. Chief advisor to Mr. Eisner and Andy Redman, President and COO of The Tornante Company, for all legal, business affairs and human resources matters relating to Tornante Television’s operations.• Initiated and negotiated a groundbreaking agreement with Sinclair Broadcasting, the nation’s fourth largest television station group, to form Tornante-Sinclair LLC, a joint venture to develop, produce and distribute original, first-run programming for broadcast/cable network, syndication and other platforms. Also devised, negotiated and implemented a precedent-setting licensing and development joint venture agreement between Tornante-Sinclair LLC and Game Show Network to co-own, co-finance and co-distribute the television game show, Snap Decision, for exhibition on GSN and in broadcast syndication.• Advised executive team and served as chief operating officer of Vuguru LLC, a $20 million joint venture between Tornante and Canada’s Rogers Media, to develop, produce and distribute original new media content in the U.S., Canada and international territories.

• Head of business operations, chief legal officer and board member of FremantleMedia North America (n/k/a Fremantle North America) , a unit of London-based Fremantle (a wholly owned subsidiary and content business arm of RTL Group). Reported to the Chief Executive Officer, Cecile Frot-Coutaz, and oversaw daily operations of all business and legal affairs, human resources, technical support services, strategic planning and corporate litigation, with a total of 25 employees. Directly assisted CEO in the oversight and management of more than $350MM in annual revenue.• Oversaw and implemented major strategic initiatives, including evaluating future exploitation objectives for the Goodson Library, a $500MM asset consisting of classic game show formats and programs such as The Price is Right, Match Game, Family Feud, Password, What’s My Line and Beat the Clock. Evaluated and developed projects for radio and internet exploitation, assessed the viability of exploiting properties in broadcast digital platforms, and created new business models for the production of scripted television programming. • Supervised seven attorneys and three paralegals in all business and legal affairs relating to production and exploitation of primetime and daytime network television scripted and reality programming, and basic cable and syndicated scripted and reality programming, including rights acquisitions, talent agreements, legal clearances, standards and practices, music, copyright and trademark, net profit definitions and production-finance-distribution agreements. Programming included American Idol (Fox), The Price is Right (CBS), America’s Got Talent (NBC), Family Feud (syndication).

• Supervised all aspects of business and legal affairs relating to production of court, talk, variety and reality television programming for first-run syndication, cable and network. Programming included Divorce Court, America’s Most Wanted, COPS.• Served as the top business and legal affairs advisor to senior management in the formulation of complex deal structures, interpretation of market conditions and implementation of an overall business strategy. Principal business affairs liaison between Twentieth Television and FBC, FX and other in-house Fox companies, as well as all outside entities.• Supervised all aspects of business and legal affairs relating to first-run and off-network distribution in broadcast and cable of Fox television programs, including The Simpsons, Malcolm in the Middle, King of the Hill, M*A*S*H, NYPD Blue, X-Files, and all Fox theatrical packages. Worked extensively with Fox in-house and outside counsel in risk management for costly lawsuits by developing an off-network distribution consultation procedure for use with profit participants.
