• Represented ABC-NACO, a U.S. rail products company, in negotiating and drafting formation documents including a joint venture contract and a technology contribution agreement in connection with establishing a joint venture with a Chinese State-owned railway company in the midwest China, and advising on Chinese legal restrictions on technology valuation, contribution, and improvements, and provided commercially and legally viable solutions to allocation and transfer of IP rights developed by the joint venture and of IP rights when the joint venture is to be liquidated.• Represented Dongfeng, a leading PRC auto company, in conducting due diligence of IP rights and drafted IP provisions in a due diligence report in a proposed dual offshore listing in Hong Kong and New York; and drafting a technology licensing agreement, a research & development agreement, and a distribution agreement in connection with establishing a joint venture with a Japanese auto giant in China.
