Responsible for all corporate legal efforts related to corporate fund-raising tranches, promissory notes, Loan Covenants, subscription agreements, Referral and Strategic Partner agreements, letters of intent, patents and trademarks, Cap Tables, 409a valuations, Board resolutions, Note Purchase Agreements and Stock Option plans and management. Drafted the Company’s Employee Handbook. Worked with National outside counsel on issues related to tax and corporate acquisitions including Due Diligence. Responsible for all commercial contract negotiations including NDAs, privacy and data compliance and software licensing arrangements. Completed commercial leases for corporate office space in Washington, D.C., Atlanta and Ft. Lauderdale.

Miami/Fort Lauderdale Area

Responsible for negotiating contracts with customers and vendors. Lead Attorney for commercial contracts including e-cloud, professional and security services and colocation contracts. Customer focused, primary deal Attorney for Terremark, a NASDAQ publicly traded company. Led the development of the original contracting vehicle for Terremark vCloud Express and Enterprise Cloud Service Agreements. Negotiated vendor agreements for all services consumed by Terremark including office space, facilities maintenance, security services, back-up power generation and outsourced billing and support services.

Signature Client Group- drafted contracts with AT&T's largest 300 customers. Responsible for managing a team performing all aspects of business and customer sales, development and retention, including contract negotiations, review and offer formation. The team provided direct support to the Signature Client Group within AT&T – which represented in excess of $2B in annual enterprise network and hosting revenue.
