Amgen acquired Horizon Therapeutics, October 2023.Managed a geographically dispersed twelve-person team of legal and contracting professionals that was responsible for commercial and clinical contract review, international expansion and special contracting projects. Advised leadership and multiple business functions on corporate and commercial matters relating to market access, distribution, supply chain, international expansion, marketing, IT, business development transactions and real estate. Managed outside counsel. Reported to General Counsel.• Supported product distribution and patient support functions by drafting and negotiating market access, patient support program and wholesale and specialty pharmacy distribution services agreements.• Supported IT and analytics functions in connection with drafting and negotiating relevant agreements.• Lead in-house attorney for international expansion, creating more than 15 entities in Europe, the Middle East, South America and Japan so that Horizon could register and commercialize its medicines outside the United States; led entity selection and formation activities, created local templates; provided general legal support for new entities.• Lead in-house attorney for Horizon’s acquisition of its US corporate headquarters in Illinois and a build-to-lease research and development facility in Maryland.• Advised on Canadian provincial product listing agreements to facilitate access to Horizon medicines in Canada.• Lead in-house attorney for Horizon’s disposition of ex-US rights for two of its medicines.• Served as lead in-house transactional attorney in connection with Horizon’s acquisition, and subsequent disposition, of ex-US rights for another medicine.• Lead in-house attorney for Horizon’s corporate sports sponsorships, including the Chicago Cubs and the Horizon Irish Open.• Provided in-house legal support for various internal restructurings to achieve desired IP ownership and entity structure efficiencies.
