Global responsibility for all legal, regulatory and compliance matters.

Responsible for all legal and regulatory affairs including legal oversight of all transactions, regulatory filings, disputes, IP generation and monetization, and corporate compliance. Worked closely with the founder, Board and management to take the company private in one of the top 10 technology M&A deals of 2012.

First General Counsel at a high-profile startup. Built a global law department to support rapid growth while putting in place all corporate, compliance, compensation, and governance practices in preparation for an IPO. Negotiated all strategic transactions including two of the largest funding rounds in Silicon Valley history as the company tripled headcount annually and reached a valuation of $2.4B.

Worked closely with the executive officers and the Board of Directors in all strategic matters, including interaction with the SEC and acquisition of three companies with a value in excess of $400M. Managed a growing international legal department focussed on transactions, corporate governance, M&A, international law, and intellectual property litigation. Successfully negotiated complex transactions such as joint ventures, licensing arrangements, and dispute settlements. Negotiate the sale of the company to SAP AG via a friendly tender.

Assumed a series of positions with increasing responsibilities in IBM, including 1) its industry-leading PC company (before its sale to Lenovo), 2) networking and ISP group, 3) IBM’s 60,000+ person European services group and European litigation practice 4) counsel for IBM’s big data & analytics software group where we acquired over 15 companies, including three over $1B in value and grew the business to a top 5 software business on a standalone basis.
