Represent large corporations and financial institutions in the planning, negotiating and drafting of documentation for secured and unsecured private loans, leveraged power plant leases, privatization of public infrastructure assets and energy focused project finance, security packages for public bond issuances, local law pledges in numerous jurisdictions, and debtor-in-possession financing. Representative transactions include:· Represent National Grid plc in the sublease of the Unit 40 Power Station in connection with the auction of its Ravenswood Generating Station to TransCanada Corporation. Unit 40 is subject to a long-term leveraged lease and was subleased to TransCanada as part of the sale. Responsibilities included researching potential methods of transferring Unit 40 and drafting and negotiating all documentation for the sublease and parent guaranty.· Represent Freescale Semiconductor, Inc. in its draw-down on the accordion feature of a secured credit facility in order to implement a debt exchange with bondholders. Responsibilities included documentation relating to the amendment of the Credit Facility and the security package, including the implementation of foreign law pledges.· Represent CIT Group, Inc. in its various efforts to restructure, including a $3 billion dollar bridge loan secured by a lien on substantially all the assets of CIT’s domestic subsidiaries and foreign law pledges on select foreign subsidiaries. Counseled CIT in connection with various amendments and an expansion of the facility to refinance select conduit facilities and restructure a total-return swap, and the issuance of two series of notes upon emergence secured by a parri-passu junior lien. Responsibilities included drafting and assisting with documents for financings, drafting sections of the offering memorandum and solicitation of votes for the pre-packaged bankruptcy, and extensive work on the domestic and foreign security package.

Consulted for a special purpose entity created for the acquisition of assets in the energy industry. Assisted the fund with the legal documentation needed for a possible acquisition and expansion of an ethanol plant.

Assist Professor Shavell in the research and writing of articles relating to economic analysis of the various aspects of the law including products liability, specific performance of contracts, the enforceability of penalties incorporated into arbitration clauses in contracts, the morality of breach of contracts, and judicial enforcement of requirements and output contracts

Worked for a non-profit advocacy group engaged in the protection of religious freedom. Drafted an amicus brief for a case involving the enforceability of an arbitration agreement, researched the statutory requirements and industry standards for the medical history questionnaire administered at blood drives, drafted health care proxies for various states, developed litigation strategies for cases involving New York State Freedom Of Information Law requests, assisted in tax planning for a non-profit giving grants to non-profits abroad

Managed a residence for adults with Developmental Disabilities. Led the clinical team in the planning and implementing of treatment plans, directed staff training and development, was on call for crisis management twenty-four hours a day/seven days a week, oversaw development of new facilities, conducted financial planning, budgeting, and recreational planning. Created and implemented staff in-service trainings on an agency-wide basis.
