• Administrative law litigation consists of contesting DEP, DOT, NYPD, FDNY, DOS and DOHMH violations before New York administrative tribunals (ECB/OATH).
• Draft and submit appeals before the ECB Appeals Board.
• Research codes, regulations and appeals, along with secondary sources, to stay informed about legal issues that may affect firm clientele’s interests.
• Advise clientele regarding compliance with New York laws and regulations and formulate operation protocols and procedures to minimize clientele’s exposure to legal liability.

Greater New York City Area

• Structured IPOs, mergers, reverse mergers, acquisitions, PIPEs and private placements; conducted Due Diligence in the context of mergers and acquisitions; drafted private placement memoranda, registration statements.
• Researched corporate and securities law and SEC, FINRA and NASDAQ rules.
• Helped clients meet their reporting obligations by drafting proxy statements, 10-Ks, 10-Qs and 8-Ks and by responding to comments from regulatory agencies such as the SEC and FINRA.

New York City

• Corporate: structured, executed and managed complex transactions; conducted due diligence for mergers and acquisitions; and advised clients about their legal, tax and insurance liabilities.
