I am responsible for the management of all legal matters for Prophet Equity’s fund operations and investments. Prior to joining Prophet Equity, I was a partner at Jackson Walker LLP where I focused on mergers, acquisitions, divestitures and related financings, including as counsel to private equity and venture capital funds. I also assisted entrepreneurs and emerging growth companies from formation to exit, with an emphasis on venture capital and general corporate finance, strategic alliances and joint ventures. During my career, I have completed over 345 transactions with approximately $10.4 billion in transaction value. I am a member of the State Bar of Texas and the Oklahoma Bar Association. I am past Chairman of the Mergers and Acquisitions Committee and the Venture Capital Committee, and past Vice-Chairman of the Securities Committee, of the Business Law Section of the State Bar of Texas, and have also served on the Board of Directors of the Texas Business Law Foundation. I am a member of the Mergers and Acquisitions Committee of the Business Law Section of the American Bar Association (Private Equity M&A, M&A Market Trends, Acquisition of Public Companies, International M&A, Revised Model Stock Purchase Agreement, Private Company Model Merger Agreement, Short Form Model Acquisition Agreement and M&A Jurisprudence Subcommittees). I previously served as the Texas liaison to the National Venture Capital Association's Model Forms Project. I regularly speak on legal and business issues related to private equity, including representation and warranty and other transactional insurances and related indemnification issues in private equity transactions.I am rated AV Preeminent by Martindale-Hubbell Peer Review Ratings. I have been named a Texas Super Lawyer by Thomson Reuters in prior years and I am the 2015 recipient of The General Counsel Forum's Magna Stella Award for Solo General Counsel.I am also a certified public accountant and an Eagle Scout.
