Reporting directly to the company’s General Counsel, I am responsible for leading the management, negotiation and administration of client facing contracts, including but not limited to merchant services agreements, consultant agreements, product services agreements and confidentiality agreements. I manage a department of contract professionals at all levels and direct the activities of my team from simple, routine to highly complex contract negotiations – and often lead the most complex contract negotiations. I influence corporate contract policies and ensure the company’s client facing transactions adhere to such policies. I provide guidance and leadership to cross-functional business team members by having a solid understanding of the business case and an appreciation of the legal, financial, risk and operational implications involved in these transactions.

Direct, manage and oversee the contracting function for First Data Corporation’s merchant processing business. Manage a staff of six contract managers, who together, provide end to end contract support to the sales engine of the organization. • Centralized the merchant contracting function across First Data – for the first time. Created an implemented a strategy to create a one stop shop for all merchant contracts for all merchant products, which resulted in synergies for the sales organization and centralized contract administration associates into one organization. • Create and periodically update all template contracts used for domestic merchant businesses. • Negotiate, draft and administer client-facing contracts. • Lead the most complex negotiation of multi-million dollar contracts; understand the business case and have an appreciation of financial/analytical issues and profit and loss implications. • Coordinate with all levels of management to gather, analyze, summarize and prepare recommendations on contracting strategies, practices and procedures.• Develop and maintain a centralized contract repository to enable rapid access to contracts and associated documents as needed, prevent duplication of contracts, version control and generate summary of key terms for each contract.• Conducted several training session for other attorneys and para-professionals on the merchant business, related contractual issues, policies and negotiation strategies.• Recipient of First Data General Counsel’s “Excellence Award”, which is the highest performance based award bestowed upon a First Data legal department associate. • Hired as Contracts Manager in 1998 and promoted three times in 11 years. • Selected to lead the Contract Management function of Bank of America Merchant Services when the joint venture was formed in 2009.
