As managing partner of Torys New York, I provide strategic leadership for the firm’s operations and expansion in United States. While in this position, I maintain my practice focusing on public companies, pension plans and private equity firms. I regularly advise companies, boards of directors and special committees on cross border M&A transactions and corporate governance in Canada and the U.S. My practice includes cross-border capital markets deal experience to companies and investment banks stemming from more than 300 Canadian, U.S. and international equity and debt offerings resulting in more than US$35 billion in capital raised.One aspect of my practice includes acting as lead external advisor to Fairfax Financial and BlackBerry on their corporate financings and M&A mandates. Other examples of work I have done for clients includes:• BlackBerry in its strategic review process along with the related US$1.25 billion financing;• Fairfax in its US$4.9 billion acquisition of Allied World Assurance Company and its strategic investments in companies such as Toys “R” Us, Bauer and Easton Sports, the Keg, Prime Restaurants, Chorus Aviation, Mega Brands, Eacom Timber, The Brick Group, Sporting Life, Torstar and Resolute;• advising Caisse de dépôt on its US$1.1 billion cross-border acquisition of Student Transportation; and• advising Cognos on its US$5.0 billion sale to IBM.
