Led a team in underwriting and closing over $1 billion in commercial real estate acquisitions and financing transactions across the United States and the United Kingdom for a real estate investment group backed by a family office with over $1.5 billion in unlevered capital. Provided legal counsel regarding all aspects of asset management, including advising project managers on leasing and development, reviewing project-level agreements, implementing complex tax strategies, supervising litigation matters and managing the disposition of assets. Oversaw the entitlement, development, construction, leasing and financing of a 300-acre office park in Austin, Texas.

Managed and coordinated all aspects of the acquisition process for a national real estate investment firm with over $750 million of institutional capital, including term sheet negotiation, due diligence review, joint venture documentation and closing mechanics. Negotiated joint venture and development management agreements with sophisticated homebuilders and developers. Provided legal support for asset management, including advising project managers on operating covenants, restructuring of underperforming projects, supervising litigation matters and managing the disposition of assets. Updated, maintained and drafted company governance documentation to reflect changing organizational needs and assisted with internal governance and compliance matters.

Represented lenders and institutional investors in various areas of commercial real estate, including financing, development, acquisition and sale of commercial properties. Drafted loan documents for bridge and mezzanine financing, operating agreements for joint ventures and development management agreements for the development of vacant land. Conducted real estate due diligence, including lease reviews in the context of corporate stock and asset acquisitions. Performed survey and title review with respect to various types of commercial properties for both lenders and institutional investors.

Performed legal research, drafted bench memoranda and managed half of the civil and criminal docket for a United States district judge in the Central District of California. Assisted the judge in resolving a full range of substantive and procedural motions from inception of litigation through trial. Managed law student externs in the fall, spring and summer terms.
