Current Job Description:Title: VP Senior Legal Counsel IISummary: Reports directly to General Counsel and performs duties outlined below associated with company litigation, contracts, lending and operations, together with related administrative and reporting tasks and conducting general research on corporate legal issues and topics as needed:Litigation Duties:Directly and indirectly with outside counsel, represent the company in litigation before various courts and government agencies, including conducting or participating in necessary discovery, hearings, trials, depositions, oral arguments, arbitrations and/or mediations; preparing case pleadings and exhibits for filing, including complaints, answers, counter-claims, cross-claims, and necessary motions and briefs as dictated by each case.Contract Review and Negotiation:For each of the company’s various departments, provide review of proposed vendor services and/or equipment contracts; outline areas of comment or concern, discuss outlines with bank key personnel; insure that vendor contracts comply with regulatory guidance; negotiate terms and conditions with vendors and providers of products and services.Loan Modifications and Workouts:Working with both consumer loan servicing personnel and commercial loan workout specialists discussing strategies for loan recoveries and borrower/credit management, including preparation of various loan documents, and/or forbearance, modification and amendment agreements, mortgages and deeds in lieu of foreclosure.Retail Operational Support:Provide advice and counsel to all areas of retail operations, including teller and deposit operation support concerning a broad array of issues regarding estates, trusts, powers of attorney, guardianships, decedent distributions, garnishments, bank attachments, setoffs, Medallion Signature Guarantees, account opening and closing issues and more.
