Responsibilities and Achievements:• Contract Review and Negotiation – Last year I performed 148 contract reviews and/or negotiations addressing both new contracts and existing relationships and the impact of contractual provisions and obligations; engaged with Strategic Sourcing, Vendor Risk Management and multiple departments and operational units including but not limited to: (a) human resources, (b) facilities, (c) information technology, (d) loan servicing, (e) accounting, (f) compliance, (g) mortgage operations, (h) information security, (i) marketing, (j) diversity and inclusion, (k) treasury management, (l) vendor risk management and (m) wealth management. Assisted Strategic Sourcing by preparing and updating templates for master agreements and statements of work. Pending litigation includes a breach of contract and riparian trespass claims before the Allegheny County Court of Common Pleas, (Pennsylvania), and an interpleader action in the Mahoning County Probate Court concerning conflicting payable on death beneficiary documentation (or lack thereof).• Legal Research and Drafting – I perform legal research and draft legal memorandum or related documents as needed and assigned; this past year assignments included drafting a Board Resolution to support the Bank’s Staples contract, and the preparation of a contractual risk assessment concerning a proposed pilot sales program and independent contractor engagement for the Capital Solutions Healthcare Finance team.

Areas of practice include: foreclosures, collections and all aspects of creditor rights; defense of various claims.Loan Documentation, Modifications and Workouts – Worked significantly with loan originators and servicing personnel, as well as special assets officers discussing strategies for loan origination, restructuring, and recoveries, including preparation of loan documentation, and/or forbearance, modification and amendment agreements and deeds in lieu of foreclosure.Retail and Back Office Operational Support - Provided advice and counsel to all areas of retail and back office operations teams, including teller and deposit operations concerning a broad array of issues covering estates, trusts, powers of attorney, guardianships, decedent distributions, garnishments, bank attachments, setoffs, Medallion Signature Guarantees, and account opening and closing issues.Contract Review and Negotiation – Began the Bank’s Legal Department contract review process. Developed tools and resources to document and tract contract negotiations, including emphasizing and identifying provisions driven or required by regulatory guidance. Reviewed, revised and commented on proposed vendor services and/or equipment contracts seeking favorable terms and conditions, as well as regulatory compliance; outlined areas of comment or concern, discussed outlines with key Bank stakeholders; negotiated terms and conditions with vendors and providers of products and services.Legal Research – Perform legal research and draft legal memorandum or related documents as needed and assigned.
