I also regularly advise clients on business and corporate matters in all phases of their business life cycle from start-up to sale of the company.I have extensive experience representing clients, as buyers and sellers, on mergers, stock and asset acquisitions and sales, management buyouts, spin-offs, joint ventures and other strategic transactions, and debt and equity financing transactions. I advise clients on a variety of other business and corporate matters, including entity formation, ownership structure, operating agreements, shareholders agreements, employee incentive compensation plans, non-compete agreements, loan transactions and succession planning.More specifically, in the federal marketplace, I advise government contractors and their owners and investors in evaluating and structuring mergers, acquisitions, and investments involving government contractors and government contracts. I am also a member of Blank Rome’s leading aerospace, defense, and government (“ADG”) M&A practice, which provides legal counsel and advice on all aspects of M&A transactions in the ADG sector, representing clients in structuring, documenting, negotiating, and closing transactions (as well as advising on post-closing integration and regulatory matters).
