Transactional Practice. Represent business clients, often as general outside counsel, in diverse practice areas, including intellectual property licensing and asset protection, municipal transactions, academic and commercial research and development agreements, and organizational and financial transactions for new and established business entities, including start-up transactions, mergers and acquisitions, and venture capital and debt financing. In addition to discussing and developing business strategies with client owners or principals, activities include the conceptualizing, drafting and negotiation of all manner of documents, instruments and agreements required in the representation of clients’ legal and business needs. I maintain a substantive client concentration in the health care industry, representing a medical office building entity, physician group practices, and clinical facilities in issues relating to ownership and shareholder activity, compliance plans, medical records, and corporate structure

Counseled new business interests from conception to formation as corporations, LLC's or LP's with inter and intra corporate buy-sell agreements and management and services agreements. Advised companies in litigation of copyright, trademark and unfair competition issues, and participated in complex commercial litigation. Prepared expert witnesses in Federal and State litigation involving issues of business interest valuation, materials laboratory analysis, and survey data.
